Reserved Matter Decisions

Find out what reserved matter decisions are and read past reserved matter decisions.

These are decisions that only the council can make about the companies it has a significant interest in. The decisions that are reserved to the council are set out in each company’s articles of association. The decisions relate to things such as:

  • appointing and removing board members
  • approving the business plan
  • making changes to the articles of association

Shareholding is an executive function. The shareholder role is typically delegated to a Cabinet member who will take reserved matter decisions at their weekly Cabinet member briefings, unless the decision meets the criteria for a key decision, in which case the decision will be taken at a Cabinet meeting.

The shareholder role is currently delegated to the Deputy Mayor: Finance, Governance and Performance.
